Who needs to reregister their company?

The requirement applies to all companies and business entities that were registered in Zimbabwe before the effective date of 1 March 2024.

This includes, but is not limited to:

  • Private Limited Companies (PLCs)

  • Private Business Corporations (PBCs)

  • Associations

  • Companies Limited by Guarantee

  • Foreign Companies operating in Zimbabwe

If your company was established prior to this date, you are legally obligated to complete the re-registration process under the new Companies and Other Business Entities Act.

How Long does it take to re-register my company?

Under normal circumstances, we aim to complete the company re-registration in Zimbabwe process within 3 to 5 working days once we submit a complete and correct application to the Companies Registry.

When is the deadline for company re-registration in Zimbabwe?

The official deadline set by the Registrar of Companies is 22 April 2025.

What happens if I don’t re-register my company?

Failure to comply with the re-registration requirement will result in your company being struck off the Companies Register. This is a serious legal action meaning your company ceases to exist as a legal entity. It will lose all its rights, including the ability to trade, own property, or enter into contracts. You will also lose your company name and whoever wants to register and use that name as their company name can do so.
